HWLP Governance
The Hinchley Wood Learning Partnership was formed on 1st July 2019 when Hinchley Wood School (formerly a single-academy trust) became a multi-academy trust. Initially, Hinchley Wood School was the only member of this trust but, on 1st October 2019, we were joined by Hinchley Wood Primary School. This means that the Hinchley Wood Learning Partnership (HWLP) is a multi-academy trust and a registered company, limited by guarantee. HWLP is an exempt charity which is regulated by the Education and Skills Funding Agency on behalf of the Secretary of State for Education.
MEMBERS OF HINCHLEY WOOD LEARNING PARTNERSHIP
Five individuals were appointed as members of HWLP on 1st July 2019 for purposes of the Companies Acts and in accordance with Articles 12-18 of the Trust’s Articles of Association. Members have a number of statutory rights, including the right to appoint and remove Trustees, the right to amend the Articles and the right to receive the Annual Report and Accounts. Whilst Members must hold the Trust Board to account for the effective governance of the trust, their role is very much ‘eyes on, hands off’. Members meet as required and at least once a year.

TRUSTEES OF HINCHLEY WOOD LEARNING PARTNERSHIP
The Trust Board and the trustees who are appointed to the Board are the organisation’s key decision makers. Trustees are both charity trustees and company directors of the Multi-Academy Trust. They are responsible for the general control and management of the administration of the Trust and all the constituent academies and have responsibilities under both the Charities Act 2011 and the Companies Act 2006.
The Trust Board remains the employer and the admissions authority and the land and buildings are held in trust by the trustees. The Trust Board comprises up to 12 Trustees who have been appointed as directors of the company – 9 are Member Appointed Trustees including the Executive Headteacher and up to 3 are Co-opted Trustees who can be appointed by the Member Appointed Trustees. Trustees have entered into a Master Funding Agreement for HWLP with the Department for Education which includes the Memorandum and Articles of Association for the Company. Trustees have also entered into Supplemental Funding Agreements for each individual academy within the Trust, namely Hinchley Wood School and Hinchley Wood Primary School.

The Trust Board continues to work in partnership with the Executive Headteacher of HWLP, Headteachers of the individual academies, staff, parents and students to raise standards of achievement. The Trust Board has a strong focus on core strategic functions: ensuring clarity of vision, ethos and strategic direction; holding the Executive Headteacher/Headteachers to account for the educational performance of the academies and their students, and the performance management of staff; and overseeing the financial performance of the school and making sure its money is well spent.

GOVERNANCE STRUCTURE
In addition to the above layers of governance (Members and Trustees), the Trust has established Trust Board Committees covering Finance and Resources, Human Resources, Senior Pay (each with their own terms of reference) and Education Strategy (currently dormant). Local Governing Bodies have been established for each school fulfilling an advisory function to the Trust Board regarding student learning and welfare. Under the LGBs, an Admissions Sub-Committee has also been established covering both schools. Each Local Governing Body (LGB) comprises a maximum of ten Local Governors. Local Governors are either elected or appointed: Up to five are appointed by Trustees; two Parent Local Governors are elected from the parent body; two Staff Local Governors are nominated and elected by school staff; the Executive Headteacher and/or Headteacher are Ex-Officio Local Governors.
